About
EPS Investing works directly with business owners to strengthen their companies for global supply chains, IPO and listing preparation, capital raising, strategic investment, and M&A. We begin with the business itself, building the financial, operating, governance, and organizational capabilities required for the next stage.
Who We Are
EPS Investing is a boutique advisory firm working directly with business owners through two connected core services: Corporate Restructuring Advisory and Capital Raising & M&A Advisory.
Our work begins with a clear understanding of the business and the owner’s objectives. A company may be seeking to enter global supply chains, prepare for an IPO or listing, raise capital, attract a strategic investor, improve enterprise value, professionalize management, transfer ownership, or pursue an M&A transaction.
EPS first assesses whether the company has the financial quality, operating capability, governance, reporting systems, internal controls, management discipline, and organizational readiness required for that next step. We examine the business model, earnings quality, cash flow, working capital, capital structure, asset utilization, operating processes, management reporting, accountability, risks, and key value drivers.
Where gaps exist, EPS supports focused or comprehensive corporate restructuring to make the company more efficient, scalable, transparent, disciplined, and credible. The objective is to strengthen the business itself before it enters demanding customer, capital-market, investor, or transaction processes.
Once the company is properly prepared, EPS supports capital raising, strategic investment, IPO or listing preparation, and M&A where these paths serve the owner’s objectives. We help position the business, develop financial and transaction materials, identify suitable counterparties, support valuation and negotiation, and coordinate due diligence and professional advisers through execution.
EPS brings together more than 25 years of experience in finance, investment management, corporate leadership, restructuring, listed-company governance, capital structuring, and transaction execution, combined with a practical understanding of business realities, ownership priorities, and decision-making in Vietnam.
We work as the business owner’s advisor. Our role is to provide independent judgment, strengthen the company from within, coordinate the preparation required for the next stage, and help owners pursue capital or ownership decisions from a stronger negotiating position.
Our Philosophy
We believe major growth, capital, and ownership decisions should begin with a clear understanding of the business itself.
A company should not approach global customers, public markets, lenders, investors, or transaction counterparties simply because an opportunity exists. It must first understand whether its financial quality, operating systems, governance, reporting, management capacity, and risk controls are ready for professional assessment.
EPS therefore looks beyond the immediate request for capital, an IPO, or a transaction. We help owners distinguish whether the real constraint lies in capital, operations, governance, organizational capacity, market positioning, ownership structure, or a combination of these factors.
Practical Value – Sustainable Impact – Responsible Action.
We advise with clarity, remain aligned with the business owner, and execute with discipline. Our objective is not to create a transaction for its own sake, but to build a stronger business and pursue the path that creates sustainable strategic and financial value.
Our Clients
EPS works primarily with business owners preparing their companies for a more demanding stage of growth, market participation, capital access, or ownership transition, including:
- Owners of growing businesses whose financial, operating, reporting, governance, or management systems have not kept pace with the increasing scale and complexity of the company.
- Companies preparing to enter global supply chains and needing stronger operating discipline, reporting, internal controls, governance, risk management, and organizational readiness.
- Business owners considering an IPO or listing and needing owner-side support to strengthen strategy, capital structure, financial reporting, governance, internal controls, management accountability, and equity positioning.
- Business owners seeking debt, equity, or strategic investment and requiring a credible investment case, suitable capital structure, reliable information, disciplined preparation, and stronger negotiating readiness.
- Business owners considering strategic investment, partial divestment, sale, acquisition, merger, or succession and needing support with readiness, valuation, transaction structure, counterparty screening, negotiation, due diligence, and execution.
What We Do
EPS delivers two connected core advisory services. Corporate restructuring strengthens the business from within. Capital Raising & M&A Advisory turns a properly prepared company into a credible capital, public-market, investment, or ownership transaction when that is the appropriate next step.
Corporate Restructuring Advisory
EPS helps business owners build the financial, operating, governance, reporting, and organizational capabilities required for the company’s next stage of development.
Our work may address financial quality, cash flow, working capital, capital efficiency, business-model resilience, asset utilization, operating processes, management reporting, organizational structure, decision rights, internal controls, accountability, risk management, and the drivers of enterprise value.
Restructuring may support entry into global supply chains, preparation for an IPO or listing, capital raising, strategic investment, succession, or M&A. Its first purpose, however, is to improve the business itself and establish a stronger foundation for sustainable growth.
Capital Raising & M&A Advisory
Once the company is properly prepared, EPS helps the owner clarify the capital requirement, intended use, timing, suitable structure, ownership priorities, transaction logic, and the company’s readiness to approach the market.
Where appropriate, EPS supports debt or equity capital raising through banks, investment funds, and strategic investors, including green or concessional finance when suitable. We assist with financial models, investment and transaction materials, counterparty screening, market engagement, valuation, negotiation, due diligence, and coordination with professional advisers.
For an IPO or listing, EPS acts as an owner-side adviser alongside the securities firm, auditor, legal counsel, and other required specialists. We help align strategy, capital structure, financial reporting, governance, internal controls, management accountability, equity positioning, and the preparation workstreams required for the formal process.
M&A is considered when strategic investment, partial divestment, sale, acquisition, merger, or succession offers a more appropriate path than conventional financing. EPS helps the owner compare the alternatives and supports preparation and execution when M&A is the right decision.

Media & Community
EPS and its leadership have been featured in Bloomberg Businessweek Vietnam, Tuoi Tre, Thanh Nien, Vietnam Woman, Nguoi Do Thi, and other publications for perspectives on the economy, finance, sustainability, corporate governance, business restructuring, capital markets, investment, and international business cooperation.
