Capital Raising and M&A
EPS Investing advises businesses and shareholders on raising capital, finding strategic partners and pursuing acquisitions or divestments, from preparation and assessment through negotiation and transaction execution.
Connecting Business Objectives with Capital and Transactions
A business may need capital to expand, strengthen its financial position or bring in a strategic partner. Shareholders may be considering a partial sale or an exit. An acquirer may be looking for a business that fits its growth strategy.
Each situation raises different questions: how much capital is needed, what ownership and control arrangements are acceptable, how the business should be valued and which counterparties are likely to be a suitable fit.
EPS helps businesses and shareholders clarify these objectives, prepare credible financial and business information, assess options and work through the practical requirements of a transaction. Our approach draws on experience in corporate finance, investment, restructuring and business leadership.

Scope of Advisory Support
Assignments are structured around the client’s objectives, transaction stage and internal resources. Within Capital Raising and M&A, EPS can support the following areas:
Capital Raising
Assess funding needs, intended use of proceeds and financing capacity; evaluate equity, debt or a combination of the two; prepare the investment case and financial projections; identify and approach potential investors or financing partners; and support the assessment and negotiation of proposals.
Strategic Investor and Partner Search
Define the financial and strategic contribution expected from a partner, establish selection criteria and assess potential fit. Support discussions on investment terms, ownership, governance and the parties’ respective roles after the transaction.
Sell-Side M&A and Divestments
Work with shareholders considering a partial or full sale to clarify objectives, prepare transaction materials, assess valuation expectations and identify potential buyers. Support buyer engagement, proposal comparison, due diligence coordination and negotiation of commercial terms.
Buy-Side M&A and Acquisitions
Help acquirers define acquisition criteria, identify and screen targets, assess strategic fit and financial performance, and evaluate valuation and transaction options. Support discussions with sellers and coordinate the work needed to reach an informed investment decision.
Transaction Preparation and Financial Analysis
Review the business plan, financial information, cash flow and key assumptions; develop financial models and valuation analyses; prepare an investor presentation or information memorandum; and organize information for counterparty review and due diligence.
Negotiation and Execution Support
Compare proposals, assess the implications of key terms and support negotiations. Coordinate information requests, due diligence workstreams and closing requirements with management, counterparties and appointed legal, tax and other specialist advisors.
The agreed scope defines the client represented, deliverables, responsibilities, timeline and fee structure for each assignment.

- Clarify the mandate: agree on objectives, funding or transaction requirements, ownership preferences, decision criteria and responsibilities.

- Identify and engage counterparties: build a focused list, assess fit and coordinate outreach and information sharing under the agreed process.

How an Engagement Can Begin
Readiness and Transaction Planning
A focused review of the business, objectives and available information. The output is an assessment of readiness, key issues to resolve and a recommended funding or transaction approach.
A Defined Transaction Assignment
Support for a specific stage or decision, such as preparing investor materials, developing a financial model, assessing an offer, screening acquisition targets or supporting negotiations. Deliverables and milestones are agreed before work begins.
An Advisory Mandate Through Execution
A broader mandate covering preparation, counterparty engagement, proposal assessment, negotiation and execution support. EPS coordinates the agreed workstreams with the client’s team and other appointed advisors as the transaction progresses.
Selected Capital Raising and Transaction Experience
EPS draws on Le Trung Nam’s experience in investment, senior finance and corporate leadership roles, together with the experience of its advisors. The examples below distinguish capital raising experience from broader investment and commercial transaction work.
Steel Builder — Capital from a Thai Investor
Steel Builder raised capital from a Thai investor. Alongside this funding experience, Le Trung Nam’s work at the company included financial and organizational restructuring, improvements to management practices and ERP implementation. The case is relevant to both capital raising and strengthening the business foundations needed for investor discussions.
C47 — Financing and Convertible Bonds
His experience at Construction Joint Stock Company 47 (C47) included corporate restructuring and financing activities, including convertible bond issuance. The case connects financing decisions with governance, financial management and the operating needs of the business.
Broader Investment and Transaction Experience
Across previous roles in investment, finance, management, legal and advisory work, EPS advisors have participated in more than 50 transactions and projects in Vietnam with a cumulative value exceeding USD 2 billion. This is an aggregate of transactions and projects across those roles.
Their experience also includes negotiating a USD 185 million EPC contract and related financing arrangements for a hydropower project in Laos. This illustrates commercial negotiation and financing coordination experience.
Connecting Transactions with Corporate Restructuring
Capital raising and M&A discussions can reveal issues in financial reporting, cash flow, governance or operations that affect investor confidence and transaction readiness. Addressing these issues may become part of the preparation process.
Through Corporate Restructuring Advisory, EPS can help the business identify and implement the necessary changes. Support may also extend to organizational and operational priorities following a transaction.
The two services can be engaged independently or together. The scope depends on what the business and the proposed transaction require.
